Adjustment of the Conversion Price and Conversion Ratio for the EUR 400 million Convertible Bonds of Deutsche Wohnen AG due 8 September 2021 (ISIN DE000A12UDH7)

Frankfurt/Main and Berlin, 5 June 2015. The Conversion Price and Conversion Ratio for the Bonds have been adjusted as a result of the cash capital increase resolved by the management board of Deutsche Wohnen AG and with the approval of the supervisory board on 20 May 2015. Following the subscription period a total of 42,166,532 ordinary bearer shares with a subscription price of EUR 21.50 have been issued on 5 June 2015.

In accordance with § 9(1)(b), § 9(2)(b) and § 9(3) of the terms and conditions such capital increase against contributions with subscription rights requires an adjustment to be made to the Conversion Price and the Conversion Ratio. Pursuant to § 13 of the terms and conditions, Deutsche Wohnen AG hereby gives notice that, effective as of the Ex Date on 21 May 2015 (subject to any Excluded Periods), the adjusted Conversion Price is EUR 21.8549 (previously: EUR 22.1016) and the adjusted Conversion Ratio is 4,575.6329 Shares per Bond (previously: 4,524.5593 Shares per Bond).
